Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Milli ("Milli," "we," "us," or "our") and govern your access to and use of the Milli mobile applications, the website at drivemilli.com, Milli AI, and all related features, content, and services (collectively, the "Services").

Please read these Terms carefully. They include a binding individual arbitration provision and a class action waiver in Section 17 and in our Arbitration Agreement & Class Action Waiver, which affect how disputes are resolved. By creating an account, starting a free trial, or using the Services, you agree to these Terms, our Privacy Policy, and the policies incorporated by reference below. If you do not agree, do not use the Services.

1. Who May Use Milli

You must be at least 18 years old (or the age of majority where you live), a resident of the United States, and legally able to enter into a contract. You may not use the Services if you are barred from doing so under applicable law, including U.S. sanctions programs. Certain features, including the Milli Elite Card, are subject to additional eligibility requirements and identity verification.

2. Your Account

You must provide accurate, current, and complete information when you create an account and keep it up to date.
You are responsible for safeguarding your login credentials and device, and for all activity under your account. Enable multi-factor authentication and device security where available.
Accounts are personal. You may not share, sell, transfer, or allow another person to access your account.
Notify us immediately at support@drivemilli.com if you suspect unauthorized access.

3. What Milli Does

Milli is a financial technology platform designed for independent workers. Depending on your plan, the Services may include automatic tax reserves (Milli Tax Vault), mileage tracking, quarterly tax estimates, payout and income tracking, expense and receipt management, reports, Milli AI insights, Milli Cents offer estimates, retirement and investing insights and planning tools (features coming), Tree of Life planning insight, access to the Milli Elite Card, and automatic annual tax filing for Elite members.

Milli is a tax preparation platform operated by an IRS-credentialed tax preparer, with IRS preparer credentials and IRS e-file credentials in place. Milli is not a bank, broker-dealer, investment adviser, CPA firm, or law firm. Banking, card issuing, money movement, and investment services, where offered, are provided by or through licensed third-party partners and are subject to their separate terms, which will be presented to you before you enroll. Connecting accounts through Plaid is optional; when you connect, the Plaid End User Privacy Policy applies, and you can disconnect at any time. Milli does not connect directly to, and is not affiliated with, any driving or delivery app. Milli's automatic annual tax filing feature (Elite plan) includes electronic filing of returns. Electronic filing is available through Milli. Tax Vault, quarterly estimates, and the Tax Ready Score are available now as automation and calculation tools. 4. Connected Accounts and Third-Party Services

To use certain features, you may connect financial accounts through Plaid Inc. ("Plaid") or other data providers. By connecting an account, you authorize Milli and its providers to access and retrieve information from that account on your behalf, and you agree to Plaid's End User Privacy Policy. Milli does not receive or store your bank login credentials. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them is governed by their own terms.

5. Subscriptions, Free Trials, and Billing

Plans. Milli offers Basic ($19.99/month), Pro ($29.99/month), and Elite ($49.99/month) subscription plans, as described on our Pricing page. Prices exclude applicable taxes.
Free trial. Eligible new users may start a 3-day free trial of Basic. Unless you cancel before the trial ends, your subscription converts to a paid plan and you will be charged.
Automatic renewal. Subscriptions renew automatically each billing period at the then-current price until cancelled. You authorize us, or the applicable app store, to charge your payment method on each renewal.
Price changes. We will give you advance notice of any price change, and the change will apply at your next renewal. If you do not agree, you may cancel before the change takes effect.
App store purchases. Subscriptions purchased through the Apple App Store or Google Play are billed and managed by those platforms and subject to their terms.

Cancellation and refunds are governed by our Refund & Cancellation Policy.

6. Milli AI

Milli AI generates insights, answers, and recommendations using automated systems and the information available to it. Milli AI is not a licensed CPA, attorney, or enrolled agent. Milli AI output is provided for informational purposes, may be incomplete or inaccurate, and is not professional financial, tax, legal, or investment advice. You are responsible for reviewing outputs and for decisions you make. Do not rely on Milli AI as a substitute for a licensed professional.

7. Electronic Communications

By using the Services, you consent to receive disclosures, notices, and communications electronically as described in our E-SIGN Consent.

8. Acceptable Use

You agree to comply with our Acceptable Use Policy. Without limitation, you may not use the Services for fraud, money laundering, unauthorized access, scraping, reverse engineering, or any unlawful purpose.

9. Your Content and Data

You retain ownership of the information and content you provide ("Your Content"). You grant Milli a limited, non-exclusive license to host, process, and use Your Content solely to provide, secure, and improve the Services, as described in our Privacy Policy. You represent that you have the rights necessary to provide Your Content.

10. Feedback

If you send us ideas or suggestions, you grant Milli a perpetual, irrevocable, royalty-free right to use them without obligation to you.

11. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and the MILLI name and M mark, are owned by Milli or its licensors and protected by intellectual property laws. Your use of the apps is subject to our End User License Agreement and Software License Agreement. See IP & Copyright.

12. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for Milli or others, or if required by law, a regulator, or a partner. Sections that by their nature should survive termination will survive.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MILLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. MILLI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TAX ESTIMATE, RESERVE, MILEAGE LOG, OR INSIGHT WILL BE ACCURATE OR SUFFICIENT FOR YOUR OBLIGATIONS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MILLI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR TAX PENALTIES OR INTEREST, ARISING OUT OF OR RELATED TO THE SERVICES. MILLI'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID MILLI IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits rights you have under the Electronic Fund Transfer Act or other non-waivable consumer protection laws.

15. Indemnification

You agree to indemnify and hold harmless Milli and its affiliates from claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right.

16. Governing Law

These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Michigan, without regard to conflict-of-law principles.

17. Dispute Resolution; Arbitration; Class Action Waiver

Except for small claims and the other exceptions described in our Arbitration Agreement & Class Action Waiver, you and Milli agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association, and you waive the right to a jury trial and to participate in a class action. You may opt out within 30 days after you first accept these Terms as described in that agreement. Before filing any claim, you agree to first contact us at support@drivemilli.com so we can try to resolve it informally within 60 days.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email at least 30 days before they take effect, unless a change is required sooner by law. Continued use after the effective date means you accept the updated Terms.

19. General

These Terms, together with the policies referenced in them, are the entire agreement between you and Milli regarding the Services. If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
