Software License Agreement

This Software License Agreement ("License") governs your use of the software that powers Milli, including the Milli mobile applications, web interfaces, Milli AI, software development kits, scripts, and any related documentation, updates, and upgrades (collectively, the "Software"). This License applies across all platforms and supplements the Terms of Service and, for iOS, the End User License Agreement. If this License conflicts with the EULA regarding the iOS App, the EULA controls.

1. Ownership

The Software is licensed, not sold. Milli and its licensors retain all right, title, and interest in and to the Software, including all source code, object code, algorithms, models, data structures, user interface designs, and all intellectual property rights in them. The Milli codebase, including any portion of it, is confidential and proprietary to Milli. No rights are granted except as expressly stated in this License.

2. License Grant

Subject to your compliance with this License and payment of any applicable fees, Milli grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in object code form solely for your personal, non-commercial management of your own finances.

3. Restrictions

You may not, and may not permit anyone else to: - copy, modify, translate, or create derivative works of the Software; - reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, model weights, prompts, or underlying ideas of the Software, except to the limited extent that applicable law expressly permits despite this restriction; - distribute, sell, rent, lease, lend, sublicense, publish, or otherwise transfer the Software or make it available to any third party, including through a service bureau, time-sharing, or hosted service; - remove, alter, or obscure any proprietary notices, labels, or marks; - circumvent, disable, or interfere with security, licensing, authentication, or usage-limitation features; - access the Software to build a competing product or to copy its features, design, or user interface; - use automated means, including bots, scrapers, or crawlers, to access the Software except through interfaces Milli expressly authorizes under our API Terms of Use.

4. Open-Source Components

The Software may include components licensed under open-source licenses. Those components are governed by their respective licenses, which are identified in our Third-Party Licenses & Attributions. Nothing in this License limits your rights under, or grants you rights that supersede, those open-source licenses.

5. Updates

Milli may provide updates, patches, or new versions automatically. Updates are governed by this License unless accompanied by separate terms. Some updates may be required to continue using the Software.

6. Confidentiality

Any non-public information about the Software that you obtain, including through beta programs, is Milli's confidential information and may not be disclosed.

7. Export Compliance

You will comply with all applicable U.S. export control and sanctions laws and will not export, re-export, or transfer the Software in violation of those laws.

8. Termination

This License terminates automatically if you breach it. Upon termination, you must stop using and destroy all copies of the Software. Sections 1, 3, 6, 9, and 10 survive termination.

9. Warranty Disclaimer and Limitation of Liability

The Software is provided "as is" and is subject to the disclaimers and limitations of liability in our Terms of Service.

10. Remedies

Unauthorized use, copying, or disclosure of the Software may cause Milli irreparable harm. Milli may seek injunctive relief in addition to any other remedies, and such claims are excluded from arbitration as provided in our Arbitration Agreement.
